Master Terms of Service

1. Agreement to Terms

These Master Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "User") and Novatrix Consulting, LLC SPC ("Novatrix", "we", "us") regarding your use of any Novatrix product or service (the "Services").

By creating an account or using any Novatrix Service, you agree to these Terms, the applicable Product Terms Addendum, and our Master Privacy Policy. If you do not agree, you may not use our Services.

2. Scope

These Master Terms apply to all current and future Novatrix products, including:

• NovexDocs — Personal document vault with AI-powered analysis
• Additional products as listed at novatrixconsultings.com/legal

Each product publishes a Product Terms Addendum that supplements these Master Terms with product-specific provisions (e.g., service description, pricing, AI disclaimers). Together they constitute the full agreement for that product.

3. Eligibility

To use Novatrix Services, you must:

• Be at least 16 years old (or the age of digital consent in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Not be located in or accessing the Services from a country subject to international sanctions
• Not be barred from using the Services under applicable laws

4. Account Registration and Security

• You must provide accurate, current, and complete registration information.
• You are responsible for safeguarding your credentials and for activity under your account.
• You must notify us immediately of any unauthorized access to your account.
• You may not share your account or create multiple accounts to circumvent limits.
• One account per person, unless explicitly permitted (e.g., business accounts).

5. Acceptable Use

You agree NOT to use Novatrix Services to:

• Upload, store, or transmit content that is illegal, fraudulent, infringing, defamatory, obscene, or harmful
• Upload counterfeit, forged, or fraudulently obtained documents
• Process other people's personal data without their explicit consent
• Facilitate identity theft, money laundering, or other illegal activities
• Attempt unauthorized access to our systems or other users' accounts
• Reverse-engineer, decompile, or disassemble any part of the Services
• Use automated tools (bots, scrapers) except where expressly permitted by our API
• Interfere with or disrupt the Services
• Circumvent rate limits, plan limits, or security measures
• Resell, sublicense, or commercially exploit the Services without our written permission

Violations may result in suspension or termination, and we may report illegal activity to authorities.

6. Subscriptions and Payments

Many Novatrix Services offer paid subscription tiers. Specific pricing, features, and limits are described in each Product Terms Addendum.

• Payments are processed by Stripe. You authorize us to charge your payment method for subscription fees and applicable taxes.
• Subscriptions renew automatically at the end of each billing period unless canceled.
• All fees are non-refundable except as expressly stated in Section 7.
• Prices are listed in USD unless otherwise stated. You are responsible for currency conversion fees and applicable taxes.
• If a payment fails, we may suspend access to paid features until payment is resolved.
• We may change prices with at least 30 days' notice. Price changes take effect at your next billing cycle.

7. Cancellations and Refunds

• Cancellation: You may cancel a subscription at any time through your account or the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. You retain access to paid features until that date.
• Refunds: We do not provide refunds for partially used subscription periods. If you are dissatisfied within the first 7 days of your initial subscription, contact support@novatrixconsultings.com for refund consideration on a case-by-case basis.
• Statutory rights: Nothing in these Terms limits any statutory refund or withdrawal rights you have under applicable consumer protection law.

8. Your Content

8.1 Ownership

You retain all rights and ownership of the content you upload to our Services. We do not claim ownership of your content.

8.2 License to Operate

You grant Novatrix a limited, non-exclusive, worldwide, royalty-free license to store, host, process, transmit, and display your content solely to operate and provide the Services to you. This license terminates when you delete your content or close your account.

8.3 Your Representations

• You have all necessary rights to upload, store, and process the content you submit.
• Your content does not violate the rights of any third party or applicable laws.
• You are solely responsible for your content and its legality.

8.4 Backups

While we maintain redundant storage, you are responsible for maintaining your own backups of important content. We are not liable for data loss except as required by law.

9. Intellectual Property

The Services—including all software, design, logos, trademarks, content, and documentation—are owned by Novatrix Consulting, LLC SPC and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our written permission.

"Novatrix", "NovexDocs", and our product names are trademarks of Novatrix Consulting, LLC SPC.

10. Third-Party Services

Our Services may integrate with or rely on third-party services (e.g., AWS, Stripe, Google, Anthropic). Your use of those services is subject to their respective terms. We are not responsible for third-party services or their availability.

11. Suspension and Termination

11.1 Your Right to Terminate

You may terminate your account at any time through your account settings or by contacting us. Upon termination, your data will be handled per our Privacy Policy.

11.2 Our Right to Suspend or Terminate

We may suspend or terminate your access to the Services if:

• You violate these Terms or any Product Terms Addendum
• Your payment fails repeatedly
• We are required to do so by law
• Continuing the Service to you poses a security, legal, or reputational risk
• You have not used your account for an extended period (typically 24+ months) — with notice

Where reasonable, we will provide notice and an opportunity to remedy.

11.3 Effect of Termination

Upon termination, your access to the Services ends, your data will be deleted within 30 days (except where legally required to retain), and no refund will be due for unused subscription time except as described in Section 7. Sections regarding intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or that AI-based features (where applicable) will produce accurate or complete results. Product-specific disclaimers may be found in each Product Terms Addendum.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• We are not liable for indirect, incidental, consequential, special, or punitive damages.
• Our total aggregate liability for any claim arising out of or related to the Services shall not exceed the greater of (a) the amount you paid us for the relevant Service in the 12 months preceding the claim, or (b) USD $100.
• We are not liable for data loss except where caused by our gross negligence or willful misconduct.
• We are not liable for any actions taken or not taken based on AI-generated outputs, third-party services, or content you upload.

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Novatrix Consulting, LLC SPC, its officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms or any Product Terms Addendum
• Your violation of any third-party rights, including intellectual property or privacy rights
• Content you upload to the Services

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Abu Dhabi, without regard to conflict-of-law principles.

Disputes shall be resolved as follows:

1. Informal resolution: First, contact support@novatrixconsultings.com to attempt to resolve the dispute informally.
2. Formal dispute: If informal resolution fails within 60 days, disputes shall be submitted to the exclusive jurisdiction of the competent courts of Abu Dhabi, UAE, unless mandatory consumer protection laws in your jurisdiction provide otherwise.

For EU/UK consumers: nothing in this section affects your statutory rights, and you may also bring claims in your country of residence as permitted by applicable consumer protection law.

16. Changes to Terms

We may update these Master Terms or any Product Terms Addendum from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance.

If you do not agree with updated Terms, you must stop using the Services and may cancel any active subscription.
